INTRODUCTION

Through Forthgreen Ltd. and/or affiliated entities (“Forthgreen”, “we” or “us”) provide our users with vegan content (the “Services”). These User’s Terms of Service regulate the use and access of https://forthgreen.com/ website, media form, media channel, mobile website and mobile applications related, linked, or otherwise connected thereto (collectively the “Platform”). For the sake of convenience, the term “Services” shall be included in the term Platform throughout the Terms unless specified otherwise.

The Platform is provided subject to User’s Terms of Service, which also incorporate our Privacy Policy, and any other guidelines, rules or operating policies that Forthgreen may establish and post on our Platform from time to time (collectively the “Terms”). These Terms defines the terms and conditions under which you are allowed to use the Platform and how we will treat your account while you are a User. As a customer of the Platform or a representative of an entity that is a customer of the Platform, you are a “User” according to these Terms (or “you”, “your”).

ACCOUNT

• In order to use the Platform, you must 1) be at least the age of majority and able to enter into contracts; 2) complete the registration process; 3) agree to these Terms including our Privacy Policy; and 4) provide true, complete, and up to date legal and contact information. If you sign up on the Platform on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf.

• By using the Platform, you represent and warrant that you meet all the requirements listed above, and that you will not use the Platform in a way that violates any laws or regulations. Forthgreen may refuse service, close accounts of any users, and change eligibility requirements at any time.

• You can create a Platform account through the Platform with certain third-party social networking services such as Facebook, Google, Twitter, LinkedIn (each, an “SNS Account”). If you choose the SNS Account option, we will create your Account by extracting from your SNS Account certain personal information such as your name and email address and other personal information that your privacy settings on the SNS Account permit us to access.

TERM

• The Term begins as soon as you access the Platform and continues as long as you use the Platform. Clicking the button and entering your username means that you have officially “signed” the Terms.

ACCOUNT AND PASSWORD

• The Platform are provided to You via dedicated account on Platform (“Account”). Every account is linked to a separate user.

• You are responsible for keeping your account name and password confidential. You are also responsible for any account that you have access to, whether or not you authorized the use. You will immediately notify us of any unauthorized use of your accounts.

• We are not responsible for any losses due to stolen or hacked passwords.

• We do not have access to your current password, and for security reasons, we may only reset your password.

PLATFORM FEES

We provide free Service to Users. Free Services are provided on per account basis.

• Users can use the Platform for free.

• We reserve the right to shut down our Platform at any time if we feel that you are abusing our system in any way. If we determine that you have abused the system in any way, and we shut down your Account.

• Reselling of the Platform Services to third parties is not permitted under any circumstances.

CANCELLATIONS AND INACTIVITY

• You or Forthgreen may terminate these Terms at any time and for any reason by giving Notice to the other party. Termination of these Terms means that you will lose access to your Account.

• We may at any time terminate these Terms with you if (a) you have breached any provision of these Terms (or have acted in a manner that clearly shows you do not intend to, or are unable to, comply with these Terms ); (b) we are required to do so by law (for example, where the provision of the Platform to you is, or becomes, unlawful); (c) the provision of the Services to you by us is, in our opinion, no longer commercially viable; or (d) we have elected to discontinue the Platform (or any part thereof).

• Once terminated, we may permanently delete your Account and all the data associated with it.

• If you do not log in to your account for six or more months, we may treat your Account as “inactive” and permanently delete the Account and all the data associated with it.

• For all Accounts, Forthgreen may charge an account Reactivation fee should an Account need to be reactivated by a customer after an Account has become de-activated due to breach of these Terms and/or long period of inactivity.

INTELLECTUAL PROPERTY RIGHTS

• The Platform contains Intellectual Property of Forthgreen in the form of, graphics, videos, audios, text and any other digital content (“Platform Content”). These Terms are for the Platform , and you are not granted a license to any Platform Content under these Terms . Except to the extent that applicable laws prevent Forthgreen from doing so, you will not, directly or indirectly: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of, or found at or through the Platform or the Platform Content; (ii) remove any proprietary notices or labels from the Platform or the Platform Content ; reproduce or copy or the Platform Content or any part thereof; (iii) modify, translate, or create derivative works based on the the Platform Content ; (iv) copy, distribute, pledge, assign, or otherwise transfer or encumber rights to the Platform or Platform Content ; (v) create any derivative product from any of the foregoing; (vi) without our express written permission, introduce automated agents or scripts to the Platform so as to produce multiple accounts, generate automated searches, requests and queries, or to strip or mine data from the Platform ; or (vii) allow third parties to gain access to the Platform or Platform Content in any manner other than as expressly permitted in these Terms .

• The Platform shall be used for your own personal and commercial purpose only and you shall not use the Platform or the Platform Content for commercial benefit of any third-party.

• You acknowledge and agree that the Platform, the Forthgreen company name and logos and all related product and service names, design marks and slogans, and all other material comprising the Platform, are the property of the Forthgreen or its affiliates or suppliers (collectively, the “Marks”). Unless stated otherwise, all Marks are protected as the copyright, trade dress, trademarks and/ or other intellectual properties are owned by Forthgreen or by other parties that have licensed their material to Forthgreen. You are not authorized to use any of the Marks in any advertising, publicity or any other commercial manner without the prior written consent of Forthgreen. Your use of the Platform confers no title or ownership in the Platform or the Marks and is not a sale of any rights in the Platform or the Marks. All ownership rights remain in Forthgreen or its third-party suppliers, as the case may be.

• You are solely responsible for any content and other material that you submit, publish, transmit, or display on, though, or with our Platform (“Content”). You grant us a non-exclusive, worldwide, royalty-free and fully paid license to use the Content, as necessary, for purposes of providing the Platform to you and other users of the Platform. All rights in and to the Content not expressly granted to us in these Terms are reserved by you.

• You acknowledge and agree that any comments, ideas and/or reports provided to us (“Feedback”) shall be the property of Forthgreen and you hereby irrevocably transfer and assign to Forthgreen such Feedback, and all associated intellectual property rights, provided however that you shall be free to use such Feedback in the ordinary conduct of your business.

INTERACTIVE SERVICES

• The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit and talk to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Platform. All User Contributions must comply with the User Contribution Standards set out below in Section 9.

• Any User Contribution you post on the Platform will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose/according to your account settings.

• You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns;
  • All of your User Contributions do and will comply with these Terms.
  • You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not us, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

• We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Platform.

• To the maximum possible extent, you hereby grant to us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully transferable and sublicensable right (through multiple tiers) and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all User Contributions, and to sublicense the foregoing rights; and (f) you irrevocably waive, and cause to be waived, against us and its users any claims and assertions of any moral rights contained in such User Contributions. This section shall survive any termination of your Account or these Terms.

USER CONTIBUTION STANDARS

• These User Contribution Standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable central, federal, state, local, and international laws, and regulations. Without limiting the foregoing, User Contributions must not:

  • contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, hurtful, inflammatory, or otherwise objectionable;
  • promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  • infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;
  • violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms.
  • contain images or videos of persons without such person’s consent;
  • involve drugs, narcotics, steroids, controlled substances, pharmaceuticals or similar products or therapies that are either illegal, prohibited, or enjoined by an applicable regulatory body; legal substances that provide the same effect as an illegal drug; or other products, medical practices, or any related equipment or paraphernalia that have been found by an applicable regulatory body to cause consumer harm;
  • promote any illegal activity, or advocate, promote, or assist any unlawful act;
  • cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;
  • bfunding a ransom, human trafficking or exploitation, vigilantism, bribes, or bounty;
  • impersonate any person or misrepresent your identity or affiliation with any person or organization;
  • involve or promote terrorism or, any activity that promote war, genocide, knives, explosives, ammunition, firearms, or other weaponry or accessories;
  • involve annuities, investments, loans, equity or lottery contracts, lay-away systems, off-shore banking or similar transactions, money service businesses (including currency exchanges, check cashing or the like), pyramid schemes, “get rich quick schemes” (i.e., Investment opportunities or other services that promise high rewards), network marketing and referral marketing programs, debt collection or crypto-currencies;
  • involve circumventing the designated method of payment as provided by us;
  • involve credit repair or debt settlement services
  • involve products or services that directly infringe or facilitate infringement upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of any third party
  • involve illegal sale or resale of brand name or designer products or services;
  • any other activity that we may deem in our sole discretion to be in support of individuals and/or entities associated with alleged financial crimes including but not limited to corruption, bribery, tax evasion, fraud, and activities of a similar nature; or
  • involve any election campaigns that are not run by a registered organization within the supported country;
  • give the impression that they emanate from or are endorsed by us or any other person or entity if this is not the case.
  • involve any other activity that we may deem in our sole discretion to be unacceptable

MONITORING AND ENFORCEMENT

• We have the right to:

  • remove or refuse to post any User Contributions for any or no reason in our sole discretion;
  • take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms, including the User Contribution Standards, infringes any intellectual property right or other rights of any person or entity, threatens the personal safety of users of the Platform or the public, or could create liability for us;
  • disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy;
  • take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform; or
  • terminate or suspend your access to all or part of the Platform for any or no reason, including without limitation, any violation of these Terms.
• Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform or otherwise accessing or using our Platform.
• YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVE AND HOLD US AND OUR AFFILIATES, LICENSEES, AND SERVICE PROVIDERS HARMLESS FROM ANY AND ALL CLAIMS, DAMAGES, LIABILITIES AND COSTS RESULTING FROM ANY ACTION TAKEN BY US/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER US/SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
• We do not undertake to review any material before it is posted on the Platform and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or non-performance of the activities described in this section.

MONITORING AND ENFORCEMENT

• In using the varied features of the Platform, you may provide information (such as name, contact information, or other registration information) to Forthgreen. Forthgreen may use this information and any technical information about your use of the Platform to tailor its presentations to you, facilitate your movement through the Platform, or to communicate separately with you.
• We may use and disclose your information according to our Privacy Policy. Our Privacy Policy will be treated as part of these Terms.

LIMITATION OF LIABILITY

• To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the Platform, including any downloads from the Platform. We and our Team will not be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they are based on negligence or we have been advised of the possibility of those damages. Our total liability for all claims made about the Platform Services in any month will be no more than what you paid us for the Services the month before.

RELEASE

To the maximum extent permitted by law, you assume full responsibility for any loss that results from your use of the Platform, including any downloads from the Platform. We and our Team will not be liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they are based on negligence or we have been advised of the possibility of those damages. Our total liability for all claims made about the Platform Services in any month will be no more than what you paid us for the Services the month before.

NO WARRANTIES

• To the maximum extent permitted by law, we provide the material on the Platform as is. That means we do not provide warranties of any kind, either express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.
• From time to time down-time, either scheduled or unscheduled, may occur. Forthgreen will work within reason to ensure this amount of down-time is limited. Forthgreen will not be held liable for the consequences of any down-time.
• Forthgreen cannot guarantee that Platform or Platform Content available for download and/or execution from or via the Platform is free from viruses or other conditions which could damage or interfere with data, hardware or software with which it might be used. You assume all risk of use of all files associated with the Platform , and you release Forthgreen entirely of all responsibility for any consequences of its use.

INDEMNITY

You agree to indemnify and hold us and our Team harmless from any losses (including attorney fees) that result from any claims you make that are not allowed under these Terms due to a “Limitation of Liability” or other provision. You also agree to indemnify and hold us harmless from any losses (including attorney fees) that result from third-party claims that you or someone using your password did something that, if true, would violate any of these Terms.

DISCLAIMERS

WE ARE NOT RESPONSIBLE FOR THE BEHAVIOUR OF OTHER USERS. FORTHGREEN OR OUR AFFILIATES SHALL IN NO EVENT BE RESPONSIBLE FOR ANY DISPUTES OR DAMAGES ARISING DUE TO THE USER SUBMISSIONS DEFINED IN THIS SECTION. FORTHGREEN DISCLAIMS ALL LIABILITIES IN THIS REGARD. IF YOU HAVE ANY QUERIES OR COMPLAINTS REGARDING ANY USER SUBMISSION, PLEASE CONTACT US VIA [ENTER CONTACT DETAILS]. IF WE FIND THAT A PARTICULAR USER SUBMISSION IS IN VIOLATION OF THE TERMS OF THESE TERMS OR ANY OTHER TERMS, WE WILL TAKE APPROPRIATE ACTION INCLUDING THE REMOVAL OF SUCH USER SUBMISSION.

ASSIGNMENTS

You may not assign any of your rights under these Terms to anyone else. We may assign our rights to any other individual or entity at our discretion.

CHOICE OF LAW

Laws of United Kingdom will apply to any dispute related to these Terms or the Platform. Any dispute related to the Terms, the Privacy Policy, or the Platform itself will be decided by the courts in United Kingdom, and each party will be subject to the jurisdiction of those courts.

FORCE MAJEURE

We will not be held liable for any delays or failure in performance of any part of the Platform, from any cause beyond our control. This includes, but is not limited to, acts of God, changes to law or regulations, embargoes, war, terrorist acts, riots, fires, earthquakes, nuclear accidents, zombie apocalypse, floods, strikes, power blackouts, pandemics, epidemics, volcanic action, unusually severe weather conditions, and acts of hackers or third-party internet service providers.

SURVIVABILITY

Even if these Terms are terminated, the following sections will continue to apply: Rights, Compliance, Limitation of Liability, No Warranties, Indemnity, Choice of Law, Severability, and Entire Agreement.

SEVERABILITY

If it turns out that a section of these Terms are not enforceable, then that section will be removed or edited as little as necessary, and the rest of the Terms will still be valid.

INTERPRETATION

The headers are provided only to make these Terms easier to read and understand.

AMENDMENTS AND WAIVER

Amendments or changes to these Terms will not be effective until we post revised Terms on the Platform. That aside, additional terms may apply to certain features of the Platform. The Additional Terms will be considered incorporated into these Terms when you activate the feature. Where there is a conflict between these Terms and the Additional Terms, the Additional Terms will control. If we do not immediately take action on a violation of these Terms, we are not giving up any rights under the Terms, and we may still take action at some point.

NOTICES

Any notice to you will be effective when we send it to the last email or physical address you gave us or posted on our Platform. Any notice to us will be effective when delivered to us at 113a Keslake Road, London, NW6 6DH, or any addresses as we may later post on the Platform.

ENTIRE AGREEMENT

These Terms make up the entire agreement and supersede all prior agreements, representations, and understandings.
